These Terms of Service ("Terms") constitute a legally binding agreement between you and Teacher Exchange Platform ("we," "our," or "us") governing your access to and use of the website, including any content, functionality, and services offered on or through teacherexchange.org (the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
The Platform is intended solely for teachers and educational professionals who are at least 18 years of age and who can form legally binding contracts under applicable law. By using the Platform, you represent and warrant that you meet these requirements.
To access certain features of the Platform, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and to update this information to maintain its accuracy.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, false, or misleading, or if you violate any term of these Terms.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:
The Platform facilitates connections between teachers seeking to exchange teaching positions. We do not guarantee that you will find a suitable exchange or that any exchange will be completed successfully.
All exchanges are subject to approval by the relevant educational authorities and institutions. We are not responsible for any decisions made by these authorities regarding your exchange request.
You are solely responsible for verifying the accuracy of information provided by other users and for conducting due diligence before agreeing to any exchange.
The Platform may allow you to post, submit, or transmit content, including profile information, messages, and other materials (collectively, "User Content").
You retain ownership rights in your User Content. However, by posting User Content, you grant us a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with providing and promoting the Platform.
You represent and warrant that your User Content does not violate any third-party rights, including intellectual property rights and privacy rights, and complies with these Terms and all applicable laws.
We reserve the right to remove any User Content that violates these Terms or that we find objectionable for any reason, without prior notice.
The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by us, our licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms do not grant you any right, title, or interest in the Platform or its content, nor any right to use any trademarks, logos, or service marks displayed on the Platform.
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE, OUR AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
You agree to defend, indemnify, and hold harmless us, our affiliates, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform.
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of Sri Lanka, without giving effect to any choice or conflict of law provision or rule.
Any legal suit, action, or proceeding arising out of or related to these Terms or the Platform shall be instituted exclusively in the courts of Sri Lanka, and you irrevocably submit to the jurisdiction of such courts.
We may revise these Terms at any time by updating this page. All changes are effective immediately when posted and apply to all access to and use of the Platform thereafter. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes.
